论跨境数据交易下 CISG 的可适用性

Abstract
随着数字经济的蓬勃发展，跨境数据交易成为国际贸易的重要组成部分。然而，现行的《联合国国际货物 销售合同公约》（CISG）主要适用于实物商品的交易，在面对数据这一无形资产时，其适用性受到了严重限制。论 文探讨了 CISG 在跨境数据交易中的局限性，分析了数据交易的特殊性质和法律需求，指出 CISG 无法满足这一新兴 领域的要求。鉴于跨境数据交易的重要性和复杂性，制定类似于 CISG 的统一公约已成为必要。这样的公约应专门 针对数据交易的特点，涵盖数据的转让、使用权限、数据保护等问题，从而在全球范围内提供统一的法律框架和保障。 尽管 CISG 不适合直接应用于数据交易，但其在违约判断、要约和交货等方面的规定仍具有参考价值。这些条款为 设计未来数据交易公约提供了有益的借鉴，帮助制定出适应数字经济需求的国际法律规范。
